Business disputes can derail even the most successful companies in the Netherlands. Shareholder conflicts alone make up a significant share of Dutch corporate legal fights, alongside contractual disagreements and intellectual property stand-offs. What most companies get wrong is not the underlying dispute, but the method chosen to resolve it: the right route can change everything, from cash flow and management continuity to reputation and cost. Timing often matters just as much as strategy. Acting quickly can mean the difference between freezing a counterparty’s assets through a conservatoir beslag (prejudgment attachment) before they disappear, and chasing a judgment that is never paid, or between resolving a shareholder conflict through a fast Enterprise Chamber (Ondernemingskamer) procedure and watching a company grind to a halt. Depending on the urgency, businesses can also turn to a kort geding (summary proceedings) for rapid interim rulings, or bring international commercial matters before the Netherlands Commercial Court (NCC), which conducts proceedings entirely in English.

வணிக மோதல்களுக்கான பொதுவான காரணங்களைக் காட்டும் தகவல் வரைபடம். Understanding where conflicts typically originate helps businesses manage risk before a dispute escalates. Three categories account for most of the commercial disputes we see in practice. Shareholder and governance conflicts are a leading source of tension in Dutch corporates. They often stem from disagreements over profit distribution, executive compensation, board appointments, or strategic direction. Minority shareholders may challenge decisions made by the majority, claiming these do not serve the company’s best interests, and such conflicts can escalate quickly if left unaddressed. Contractual disagreements arise from unclear terms, performance expectations, delivery timelines, or payment conditions, and become more likely as supply chains and international collaborations add parties and complexity. Dutch courts interpret contracts with a strong emphasis on good faith, meaning parties are expected to act reasonably and transparently even where the wording is ambiguous. Intellectual property and competitive disputes are common in a country that is a hub for innovation, ranging from patent and trademark infringement to misappropriation of trade secrets and unfair competition claims. Because R&D investment is high-stakes, these disputes tend to move quickly and often require urgent interim measures.

The Four Main Routes for Resolving Business Disputes

1. Mediation — The Fastest Path to a Binding Resolution

Dutch courts actively encourage mediation before litigation, and from 2025 onward, courts can deny hearing slots or impose adverse cost orders where no mediation attempt has been documented. For commercial disputes involving an ongoing relationship, such as supplier conflicts, partnership disagreements, or contract renegotiations, mediation preserves the relationship while achieving a legally binding outcome faster and at lower cost than litigation. Law & More’s mediators are experienced in Dutch corporate law and can facilitate structured negotiations in English, Dutch, German, Spanish, and other languages. A mediation process typically concludes within 4–8 weeks. Mediation is the right choice when the relationship matters, when speed is the priority, or when confidentiality is critical, since unlike court proceedings, mediation is private.

2. Kort Geding — Urgent Interim Relief Within Weeks

The kort geding (summary proceedings) is one of the most powerful tools in Dutch corporate law, under Article 254 Rv. It allows a claimant to obtain a binding court order within weeks, sometimes days, without waiting for full merits proceedings. Dutch courts grant kort geding relief to:

  • Force payment of undisputed invoices
  • Halt a competitor’s unlawful conduct immediately
  • Enforce or suspend a contract pending full proceedings
  • Protect trade secrets and IP from imminent harm

The threshold is plausibility: a claimant does not need to prove the case in full, only demonstrate a reasonable chance of success in the main proceedings. In many cases, a kort geding order drives a settlement, making full proceedings unnecessary. Law & More regularly secures kort geding relief for clients in Eindhoven மற்றும் Amsterdam, with lawyers available around the clock to file applications at short notice.

3. Civil Proceedings — Full Merits Litigation

For complex disputes where interim relief is not sufficient, civil proceedings before the Dutch district courts deliver a final, enforceable judgment. First-instance proceedings typically take 12–18 months. Common categories of Dutch civil business disputes include:

  • Breach of contract, covering non-performance, defective delivery, late payment, and interpretation conflicts
  • Distribution, agency, and franchise disputes, including goodwill claims under Article 7:442 of the Dutch Civil Code
  • Shareholder and joint venture disputes, including deadlock situations, breach of a shareholders’ agreement, and director liability
  • Tort claims, such as unfair competition, tortious interference, and reputational harm
  • Debt collection and enforcement, including judgment enforcement, attachment of assets, and cross-border recovery
  • Supply chain disputes, including CISG claims, force majeure, and supplier termination

Dutch courts apply Dutch law or the law designated by a choice-of-law clause. Law & More advises on both Dutch and EU private international law to develop the strongest forum strategy.

4. Netherlands Commercial Court (NCC) — Litigation in English

Established in 2019, the Netherlands Commercial Court allows parties to conduct civil and commercial proceedings entirely in English. This is an important option for international businesses that have chosen Dutch law or Dutch jurisdiction but cannot conduct proceedings in Dutch, provided the parties agree in writing to NCC jurisdiction. The NCC applies Dutch substantive law, provides active judicial case management, and typically reaches a first-instance judgment around twelve months after the case management conference. Because NCC judgments are Dutch court judgments, they are enforceable across the EU and, via the New York Convention framework that supports Dutch judgments more broadly, in a wide range of other jurisdictions. A Dutch jurisdiction clause in a contract, or a cross-border dispute with a Dutch counterparty, can make the NCC the optimal forum.

Pre-Judgment Attachment (Conservatoir Beslag): Securing Assets Before Trial

One of the most decisive tools available in Dutch dispute resolution is the conservatoir beslag, a prejudgment asset freeze under Articles 700–770c Rv. It allows a party to freeze a counterparty’s bank accounts, receivables, inventory, real property, or shares before the case is decided, preventing asset dissipation. Dutch courts grant prejudgment attachment on a summary plausibility assessment, typically without hearing the other party first (ex parte). In urgent situations, an attachment order can be obtained within 24 to 48 hours. After attachment is granted, the attaching party must start substantive proceedings within a short statutory period, failing which the attachment automatically lapses. Law & More handles both the attachment application and the underlying proceedings, ensuring seamless coordination.

Shareholder Disputes and the Enterprise Chamber

When disputes arise between shareholders in a Dutch BV or NV, such as deadlock, oppression of minority shareholders, or mismanagement, the Enterprise Chamber (Ondernemingskamer) of the Amsterdam Court of Appeal is the specialised forum, with exclusive jurisdiction over the inquiry procedure under Articles 2:344–2:359 BW. The Enterprise Chamber can:

  • Launch a formal inquiry (enquêteprocedure) into a company’s affairs
  • Grant immediate interim measures, including the appointment of an independent manager or the suspension of resolutions
  • In severe cases, order restructuring, a buyout, or dissolution

These enquête proceedings move faster than ordinary civil proceedings, and the possibility of immediate intervention is often the key practical advantage in a deadlock or continuity crisis. Law & More has handled shareholder disputes at the Enterprise Chamber and can advise on both offensive and defensive strategies from day one.

மாற்றாக நடுவர் மன்றம்

நவீன டச்சு அலுவலகத்தில் நடுவர் கூட்டம் For international commercial disputes, arbitration under the Netherlands Arbitration Institute (NAI), ICC, or UNCITRAL rules, governed in the Netherlands by Articles 1020–1073 Rv, offers a confidential, flexible, and internationally enforceable alternative to court proceedings. Arbitral awards are enforceable in more than 170 countries under the 1958 New York Convention, which makes arbitration particularly valuable where a counterparty’s assets sit outside the EU and outside the reach of the Brussels I Recast Regulation that otherwise makes Dutch court judgments automatically enforceable across the EU. The NAI updated its arbitration rules in 2023 to introduce expedited procedures for disputes under €1 million, making arbitration a realistic option even for mid-sized commercial disputes. Law & More advises on arbitration clause drafting, emergency arbitrator applications, and full arbitral proceedings.

சரியான தகராறு தீர்வு செயல்முறையைத் தேர்ந்தெடுப்பது

Selecting an appropriate process is a strategic decision that shapes the efficiency, cost, and ultimate outcome of a dispute. Three factors tend to matter most.

  • Dispute complexity and relationship dynamics: straightforward disputes with clear-cut legal issues are often best addressed through litigation, where a court can provide a definitive ruling. More technical conflicts may benefit from arbitration, which allows the parties to select arbitrators with relevant industry expertise. Where preserving the business relationship is paramount, mediation is usually the better starting point.
  • Financial and time considerations: litigation typically involves higher costs and longer timelines, sometimes extending over a year or more. Arbitration is often faster and more predictable, while mediation is generally the most cost-effective route, with shorter proceedings and lower administrative expense. A full cost-benefit review should also weigh opportunity costs and the reputational impact of a prolonged conflict.
  • Confidentiality and precedent: court proceedings are, as a rule, public, which can expose sensitive business information. Arbitration and mediation offer greater privacy, which matters where competitive intelligence is at stake. Litigation also creates legal precedent, which arbitration and mediation generally do not, so businesses should consider whether establishing (or avoiding) a public legal precedent is strategically desirable.

Dutch courts now expect parties to attempt mediation before being granted a full court hearing slot. From 2025 onward, courts can deny hearing slots or award adverse cost orders if no mediation attempt is documented. The Netherlands Arbitration Institute (NAI) also updated its arbitration rules in 2023, introducing expedited procedures for disputes under €1 million. Businesses with cross-border counterparties continue to benefit significantly from NAI arbitration, given enforcement of Dutch-seated awards in more than 170 countries under the New York Convention.

அடிக்கடி கேட்கப்படும் கேள்விகள்

How quickly can you resolve a business dispute in the Netherlands?

Urgent interim relief through kort geding can be obtained within days to a few weeks. Mediation typically concludes in 4–8 weeks. Full civil proceedings at first instance take 12–18 months on average, and prejudgment attachment can be granted within 24–48 hours in genuine emergencies.

Can business litigation in the Netherlands be conducted in English?

Yes. The Netherlands Commercial Court conducts proceedings entirely in English and is available for international commercial disputes where the parties agree on Dutch jurisdiction. Law & More represents clients before the NCC and in all other Dutch courts.

How does a shareholder dispute get resolved under Dutch law?

Shareholder disputes in Dutch BVs and NVs are typically resolved through negotiation, mediation, civil proceedings, or, in serious mismanagement or deadlock cases, the Enterprise Chamber inquiry procedure. The Enterprise Chamber can grant interim measures within weeks, including appointing an independent manager to run the company during the proceedings.

What is conservatoir beslag and when is it used?

Conservatoir beslag is a prejudgment asset freeze under Dutch law. It allows a creditor or claimant to freeze a debtor’s assets, such as bank accounts, receivables, inventory, property, or shares, before a court judgment is obtained, preventing the other party from hiding or dissipating assets. Dutch courts can grant this on short notice, often within 24–48 hours in urgent cases.

Is arbitration better than court litigation for international contracts?

It depends on where the counterparty’s assets are located. If they sit outside the EU, an arbitral award is generally easier to enforce than a Dutch court judgment, since the Netherlands and more than 170 other countries are party to the New York Convention. Within the EU, a Dutch court judgment is already automatically enforceable under the Brussels I Recast Regulation, so arbitration’s enforceability advantage matters most for non-EU counterparties.
